Roberto Cingolani the new CEO and general manager of Leonardo (+0.19% on the Stock Exchange). The former environment minister of the Draghi government was appointed yesterday evening by the new board of directors made up of twelve members elected by the assembly, which took place yesterday behind closed doors with 73% of the capital present. But if the election of the eight directors from the relative majority list of the Mef (30.2% of the capital) had no competitors, the minorities made the news: the list of GreenWood Investors (together with Sachem Head Capital Management and Banor Sicav) with just over 1.55% of the capital, it obtained over 42% of the capital represented, beating Assogestioni four to zero: for the first, the candidates of the Italian funds remain outside the governance of the large state-owned companies. Institutional investors (90% foreign) participated significantly – reads the note – with 52.193% of the capital present.

The decisions

The assembly voted as president of the Defense and Aerospace group Ambassador Stefano Pontecorvo, who in August 2021 had coordinated the evacuation of Kabul airport for NATO. The board – reads the note – within the framework of a new organizational structure that will be finalized in the coming weeks and which will lead to a significant rationalization of the structure, has conferred on the chairman Stefano Pontecorvo, who is responsible for the legal representation of the Company and the pursuant to the law and the Articles of Association, some attributions relating, inter alia, to Institutional Relations, Group Security and the coordination for Subsidized Finance projects. The board approved the establishment of the new General Management Business & Operations, headed by Lorenzo Mariani with the role of co-manager general.

The new board

In addition to Pontecorvo and Cingolani, Trifone Altieri, Francesco Macr, Marcello Sala, Enrica Giorgetti, Cristina Manara and Elena Vasco have joined the new board for the Mef. For GreenWood Giancarlo Ghislanzoni, Silvia Stefini, Dominique Levy and Steven Wood, 40, who leads the US asset management company. GreenWood’s list had the backing of proxy advisors ISS and Glass Lewis. If the foreign funds, which historically vote through the lawyer Dario Trevisan, were to follow the recommendations of the proxy advisors also for Enel, then at today’s meeting the list of Assogestioni (recommended by ISS and Glass Lewis) could obtain the majority of votes (as happened in 2020) to the detriment of the one presented by the Uk Covalis fund.
