Comer Industries, a company listed on the Euronext Growth Milan segment managed by Borsa Italiana and at the head of a leading group in the design and production of advanced engineering systems and mechatronic solutions for power transmission, has approved the project for admission to listing of ordinary shares of the Company on Euronext Milan which is aimed at medium and large capitalization companies.
What Comer Industries does
The company, based in Reggiolo (Reggio Emilia), operates in the sectors of agricultural machinery, construction, wind energy and engines and transmissions for electric vehicles. Born in 1970 and grown over the years, Comer Industries today has 18 production sites around the world and about four thousand employees.
The vote of the shareholders’ meeting
The transfer operation from the Euronext Growth Milan multilateral trading system to Euronext Milan, which will be submitted for approval by the next shareholders’ meeting, aims to maximize the company’s visibility on the financial markets and to attract greater interest from institutional investors.
The increase of the share capital
The shareholders’ meeting will be called in an extraordinary session to approve a new bylaws compliant with the provisions applicable to companies listed on regulated markets and with the best practices of the market. The new text provides, among other things, for the introduction of shares with increased voting rights. Furthermore, the board of directors resolved to submit to the approval of the extraordinary shareholders’ meeting the proposal to grant a proxy to the board of directors to increase the share capital up to a maximum of 30 million euros and for a maximum of five years from the date of adoption of the resolution, so that the board of directors has a flexible tool in the future to support the growth path of the group.
